Boiler Room Scams / Fraud Warning

In recent years, many companies have become aware that their shareholders have received unsolicited phone calls or correspondence concerning investment matters. These are typically from overseas based ‘brokers’ who target UK shareholders, offering to sell them what often turned out to be worthless or high risk shares in US or UK investments. These operations are commonly known as ‘boiler rooms’. These ‘brokers’ can be very persistent and extremely persuasive.

If you do not know the source of the call, check the details against the Financial Conduct Authority (FCA) website below and, if you have any specific information, report it to the FCA using the Consumer Helpline or the Online Reporting Form.

If you have any concerns whatsoever, do not take any action and do not part with any money without being certain that:

  • You fully understand the transaction
  • You know who you are dealing with and that they are registered with and authorised by the FCA
  • You have consulted a financial adviser if you have any doubts. Remember, if it sounds too good to be true, it almost certainly is. You run the risk of losing any money you pay out.

Managing an Estate of a Deceased Shareholder

Dialight plc has retained its registrars, Equiniti, to assist in the management of the estate of any deceased shareholder. This is a two stage process: (1) notification; and (2) registration. Please do not send any letters of probate to Dialight plc as we will only be able to return these to you without any further processing.

1. Notification

You can email, call or write to Equiniti to inform them that a shareholder has passed away.

On the form, please ensure that you include the shareholder’s full name and registered address, and state that the shares were held in Dialight plc. It will also help if you are able to provide details of any previous addresses at which the shareholder has lived, to help identify all shareholdings.

When you call, please quote the Shareholder Reference; this can be found on the share certificate/statement or on any previous correspondence sent. Please also be prepared to provide details of any previous addresses at which the shareholder has lived; to help identify all shareholdings.

Please ensure that you include the shareholder’s full name and registered address along with a statement that the shares are held in Dialight plc. It will also help to provide details of any previous addresses at which the shareholder has lived, so as to help identify all shareholdings. Equiniti’s standard response time is to deal with your request within 5 business days from receipt.

2. Registration

Formal registration of the shareholder’s death is then required to enable the appointed legal representative(s) to sell or transfer the shares as appropriate. The death can be registered by either using the Small Estates service or by providing the Grant of Representation.
