Dialight plc (the “Company”)

Director/PDMR Shareholding

The Company has been notified that on Friday, 3 March 2017, Fariyal Khanbabi, Executive Director and Group Finance Director of the Company, entered into the following transactions:

1.   The exercise of a nil cost option over 10,445 ordinary shares of £0.0189 each in the Company (“Shares”), such option having been granted in March 2015 as a deferred share award under the Dialight plc Annual Performance Bonus Plan.

2.   The sale of 4,962 Shares, acquired pursuant to the option exercise, at a price of £10.31 per share in order to satisfy the withholding tax payable in connection with the exercise and the commission arising on the sale.

Following this transaction, Fariyal Khanbabi now holds a total of 5,483 Shares, representing 0.017% of the total issued share capital of the Company.

This notification was received by the Company on 6 March 2017 and was made in accordance with the Market Abuse Regulation and Disclosure Transparency Rules.
